Default Converting 5-sp to automatic?

How much trouble is it to convert a 5-speed Tacoma to an automatic? I have been wanting a 95-99 Tacoma 4wd with an automatic, but I have not had any luck finding one locally at a decent price. Seems like the automatic ones around here are very $$$$. I have a bum left knee and driving a stick shift hurts my leg.

I found a 1999 Tacoma 4wd, but I dislike two things... one, its a 5-speed and the other, its dark purple. I think I can get it for about $4000, but it has 212K miles and the tires are shot. It has some scratches and dings. Southern truck, frame looks fine.

I am wondering though, if the frame does start rusting, how long do I have to be able to trade it in at the Toyota dealer at the increased trade-in value and how long do I have to own it before I can trade it in? I know there was a time limit on the frame rust thing.
